1. Introduction and Acceptance
By accessing or using Exodus OS (the "Platform" or "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, you may not use the Services.
2. Definitions
- "Exodus OS" refers to the property management software platform and related services.
- "Kalbot Solutions", "we", "us", or "our" refers to [Legal Company Name], the operator of Exodus OS.
- "Customer" refers to the organization or individual subscribing to the Services.
- "User" refers to any individual accessing the Platform, including Customer employees, tenants, landlords, and vendors.
- "Customer Data" refers to the data, information, and content entered into the Platform by the Customer or its Users.
- "Personal Information" refers to information about an identifiable individual.
- "Platform" refers to the Exodus OS website, applications, and underlying software.
- "Integrations" refers to third-party software connected to the Platform (e.g., QuickBooks Online).
- "AI Features" refers to artificial intelligence tools and automated generation capabilities within the Platform.
- "Services" refers to the Platform, features, APIs, and support provided by Kalbot Solutions.
3. Eligibility and Authority
If you are agreeing to these Terms on behalf of a Customer organization, you represent and warrant that you have the authority to bind that organization. Users must provide accurate information and be of legal age to form a binding contract.
4. Account Registration and Security
Users are responsible for maintaining the confidentiality of their credentials and for all activity under their accounts. Customers are responsible for managing permissions for their admin users, staff, and invited guests. You must notify us immediately of any unauthorized access or security breach.
5. Description of Services
Exodus OS provides property management software features, which may include property, unit, tenant, landlord, and vendor management; maintenance requests; inspections; communications; task tracking; document generation; notices and reminders; ledgers and reporting; QuickBooks integration; AI-assisted features; dashboards; and automation.
6. Customer Responsibilities
Customers are responsible for:
- Using the Services lawfully.
- Ensuring the accuracy of data entered into the Platform.
- Obtaining all required consents from individuals before processing their Personal Information.
- Verifying notices, documents, and reports before sending or relying on them.
- Complying with landlord-tenant laws, privacy laws, Canada's Anti-Spam Legislation (CASL), accounting/tax rules, employment rules, and other applicable laws.
- Managing user permissions and reviewing outputs.
- Backing up and exporting data where appropriate.
- Not using Exodus OS as their sole legal or accounting authority.
7. No Legal, Accounting, Tax, Financial, or Professional Advice
Exodus OS is software, not professional advice. While the Platform may generate or assist with legal notices, lease-related documents, accounting records, reminders, reports, and communications, these are software outputs only.
Users must review all outputs with qualified professionals. Kalbot Solutions does not guarantee that any notice, lease, accounting entry, tax treatment, or workflow is legally valid or appropriate for a specific situation.
8. QuickBooks Online / Intuit Integration Terms
If you connect QuickBooks Online to Exodus OS:
- You must authorize QuickBooks access through the appropriate flow.
- You remain responsible for your QuickBooks account, permissions, configuration, taxes, chart of accounts, invoice settings, and overall accounting accuracy.
- Exodus OS may create, update, read, or sync accounting records depending on enabled features.
- Sync errors may occur; you must review your records regularly.
- Disconnecting QuickBooks may disable accounting features in Exodus OS.
- Exodus OS is not responsible for Intuit outages, API changes, permission issues, or third-party service limitations.
- You must comply with Intuit's terms and policies.
- We provide no financial advice, bookkeeping guarantee, or tax filing guarantee.
9. Communications and Messaging
The Platform may send email, SMS, in-app messages, or voice/call notifications if enabled. The Customer is solely responsible for message content, recipients, consent, opt-outs, quiet hours (if applicable), and CASL compliance.
While Exodus OS may provide templates, we do not guarantee the legal compliance of your communications. Users must not send spam, harassment, deceptive messages, illegal notices, or unauthorized marketing.
10. AI Features
AI outputs provided by the Platform are experimental and assistive. AI can be wrong. Users must review all outputs before relying on them.
Prohibited uses: Illegal discrimination, harassment, unlawful surveillance, unauthorized legal/financial advice, deceptive communications, or entering information users are not authorized to process.
Customer administrators are responsible for enabling or disabling AI features and managing user access to them.
11. Customer Data Ownership and License
The Customer retains ownership of all Customer Data. By using the Services, the Customer grants Kalbot Solutions a limited, worldwide, royalty-free license to host, process, transmit, display, analyze, back up, and use Customer Data to provide and improve the Services, support, security, integrations, and legal compliance.
We may use aggregated or anonymized data for analytics, benchmarking, product improvement, and insights, provided it does not identify a specific customer or individual.
12. Acceptable Use
Users must not use the Platform for:
- Illegal activity or unauthorized access.
- Scraping, reverse engineering, or distributing malware.
- Sending spam or misleading communications.
- Privacy violations or infringing on intellectual property rights.
- Uploading data without the necessary rights or consent.
- Interfering with platform security.
- Violating landlord-tenant, privacy, financial, or consumer protection laws.
13. Third-Party Services
Integrations and third-party services accessed through the Platform are governed by their own terms and privacy policies. Kalbot Solutions is not responsible for third-party services, outages, data handling practices, or changes to those services.
14. Fees, Billing, Taxes, and Subscriptions
Access to the Services requires payment of subscription fees and any applicable usage-based fees (e.g., for AI, SMS, email, storage, integrations, or overages). Taxes are extra unless stated otherwise.
Late or non-payment may result in the suspension of your account. All fees are non-refundable unless required by law or explicitly stated in an order form. We reserve the right to change pricing with reasonable notice.
15. Service Availability and Changes
We aim to provide reliable service but do not guarantee uninterrupted availability. Maintenance, outages, third-party issues, updates, or API changes may affect availability. We reserve the right to change, add, remove, or modify features at any time.
16. Data Export and Account Termination
Customers can request or export their data subject to their plan's technical limitations. Upon termination of an account, access to the Services may end immediately. Data may be deleted after a retention period, except for backups and data required for legal obligations. Unpaid accounts may be suspended or terminated.
17. Confidentiality
Both Kalbot Solutions and the Customer agree to protect each other's confidential information with the same degree of care used to protect their own confidential information.
18. Intellectual Property
Kalbot Solutions owns Exodus OS, including all software, design, workflows, templates, branding, documentation, and related intellectual property. Customers may not copy, resell, reverse engineer, or white-label the Platform without express written permission.
19. Beta, Pilot, and Trial Features
If applicable, beta, pilot, or trial features are provided "as-is." They may be changed or discontinued at any time and are not suitable for mission-critical reliance without review.
20. Disclaimers
The Services are provided "as is" and "as available" to the maximum extent permitted by law. We make no guarantees regarding legal compliance, financial accuracy, uninterrupted service, tenant outcomes, payment collection, or profitability.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Kalbot Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of goodwill, data loss, or business interruption.
Our total liability arising out of or related to these Terms or the Services is capped at the amount paid by the Customer for the Services in the [insert liability cap, e.g., 12 months] preceding the claim.
22. Indemnification
The Customer agrees to indemnify and hold Kalbot Solutions harmless from any claims arising from Customer Data, misuse of the platform, unlawful communications, privacy or consent failures, landlord-tenant law violations, accounting or tax decisions, third-party claims, or breach of these Terms.
23. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. The courts located in Ontario, Canada will have exclusive jurisdiction, unless applicable law requires otherwise.
24. Changes to Terms
We may update these Terms from time to time. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.
